The Executive Director, Mergers & Acquisitions will play a key leadership role in the sourcing and execution of strategic transactions including acquisitions, joint ventures, investments, swaps, divestitures and other structures designed to create long-term shareholder value. This position will develop executable M&A strategies, source M&A transactions and lead all phases of M&A transaction execution. This position will build and foster relationships with external partners including senior management teams of target companies, strategic and private equity partners, legal advisors and financial advisors. This position will manage cross-divisional and cross-functional teams through all phases of the deal execution process including due diligence, deal documentation, formation of post-deal operational strategies and initial phases of post-deal integration. The ideal candidate will have significant M&A transaction experience, including relevant experience in corporate development, private equity, investment banking, consulting and/or transaction advisory services. This position reports to the Vice President of Mergers & Acquisitions and manages the Manager of Mergers & Acquisition.
• Partner with senior management, internal leaders and external advisors to develop comprehensive M&A strategies in attractive core and adjacent growth areas.• Build differentiated relationships with management teams, financial sponsors, strategic partners, advisors, lenders and industry experts to create pipeline of attractive and actionable M&A opportunities.• Lead internal and external teams to identify, prioritize, evaluate, recommend and execute strategic transactions that fit within our M&A strategies.• Structure and negotiate all aspects of a wide range of M&A transaction types.• Lead teams of internal and external resources to perform primary and secondary due diligence on prospective target companies including strategic rationale, market assessment, valuation, functional diligence, cultural fit and financial impact.• Partner with internal leadership teams to develop post-deal operating strategies and lead initial phases of integration.• Lead, develop and coach junior team members.• Responsible for ongoing tracking and reporting of activity to senior management.Qualifications:• 10+ years of relevant M&A experience required which includes corporate development, private equity, investment banking and/or transaction advisory services of Big 4 accounting firms.• Excellent business development, negotiating, financial, analytical and research skills.• Proven ability to lead teams comprised of cross-divisional and cross-functional leaders and subject matter experts.• Strong executive presence, presentation (written and verbal) and interpersonal skills to positively interact with senior management and external partners.• Highly organized with strong ability to manage multiple projects with high visibility, high impact and tight timelines simultaneously.• Travel up to 50%.
• Experience in the telecommunications industry is preferred.
• Bachelor Degree required.• MBA preferred.
